1. About These Terms
These Terms and Conditions govern your use of the Drovane website (the "Site") and the services we offer. By visiting the Site or engaging our services, you agree to these terms. Please read them carefully before proceeding.
Drovane is operated by a Malaysian-registered entity based at Level 18, Menara Southpoint, Medan Syed Putra, 59200 Kuala Lumpur. Questions about these terms may be sent to [email protected].
2. Services Offered
Drovane provides AI-assisted route planning and fleet coordination services to logistics teams and delivery operations across Malaysia. Our services currently include:
- Route Review (RM 560): A review of a sample of delivery stops with a written summary and a walkthrough session. Suited to teams seeking a clearer picture of their existing routing.
- Route Planning Setup (RM 1,740): Configuration of routing for your stops and connection to a planning view, including a training session. Aimed at logistics leads ready to formalise their planning process.
- Fleet Coordination Programme (RM 2,950): A broader engagement for larger operations, including multi-route setup, a review cycle, and a maintenance handbook for internal ownership.
Service descriptions on the Site are intended as an overview. The full scope of each engagement will be agreed in writing before work begins.
3. Enquiries and Engagement
Submitting a contact form or sending an email does not constitute a service agreement. An engagement begins only when both parties have agreed in writing to the scope, service type, and pricing. We will communicate proposed scopes clearly and allow time for review before proceeding.
We reserve the right to decline an enquiry at our discretion if we believe the service is not a suitable fit for your situation.
4. Fees and Payment
Service fees are as listed on the Site at the time of engagement, unless otherwise agreed in writing. Prices are in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise.
Payment terms will be specified in the engagement agreement. We typically issue invoices on engagement confirmation, with payment expected within 14 days of invoice date unless other arrangements are agreed.
We reserve the right to pause or suspend work if a payment remains outstanding beyond the agreed terms.
5. Delivery of Services
We aim to complete services within the timeframes outlined at engagement, subject to timely provision of information, data, and access from your side. Delays in receiving required inputs may affect delivery timelines.
Written outputs (summaries, planning views, handbooks) will be delivered in digital format unless otherwise agreed. Physical delivery is not offered as standard.
We do not warrant that any specific operational outcome — such as a particular reduction in driving time or improvement in delivery windows — will result from using our services. Route planning involves many factors outside our control.
6. Client Responsibilities
To allow us to carry out the work, you agree to:
- Provide accurate and reasonably complete stop data, operational details, and context as requested
- Designate a contact person who can respond to queries during the engagement
- Review and provide feedback on draft outputs within a reasonable timeframe
- Use outputs in accordance with the purpose for which they were produced
7. Intellectual Property
Upon full payment, you receive a non-exclusive right to use the deliverables produced for your engagement (planning views, summaries, handbooks) for your internal operational purposes.
Drovane retains ownership of any methodologies, tools, frameworks, or underlying processes used in delivering the services. You may not reproduce or distribute our deliverables for external commercial use without written permission.
Any data you provide to us remains your property. We will handle it in accordance with our Privacy Policy.
8. Confidentiality
We treat all client data — including stop data, fleet details, and operational information — as confidential. We will not disclose this information to third parties except as required to deliver the agreed service or as required by law.
We ask that you treat any methodologies, frameworks, or tools we share with you as confidential and for internal use only.
9. Limitation of Liability
Drovane's services are advisory and operational in nature. We provide route analysis and planning support, but decisions about whether and how to implement our recommendations remain with you.
To the extent permitted by Malaysian law, our total liability to you in connection with any service engagement shall not exceed the fees paid by you for that specific engagement.
We are not liable for indirect losses, consequential damages, loss of business, or outcomes arising from your use or non-use of the outputs we produce.
10. Cancellations and Amendments
If you wish to cancel an engagement after work has begun, please notify us in writing. We will invoice for work completed up to the point of cancellation.
Changes to the agreed scope may affect the timeline and pricing. Any amendments will be documented and agreed in writing before additional work proceeds.
11. Website Use
You may use the Site for the purpose of learning about our services and making contact with us. You agree not to use the Site in any way that could damage it, interfere with its availability, or misrepresent your identity or affiliation with Drovane.
We make reasonable efforts to keep information on the Site accurate and up to date, but we do not warrant that all content is complete or error-free at any given time. Service descriptions and pricing may be updated periodically.
12. Links to Third-Party Sites
The Site may contain links to external websites for convenience. We are not responsible for the content or practices of those sites and do not endorse them by linking to them.
13. Governing Law
These terms are governed by the laws of Malaysia. Any disputes arising from or related to these terms or our services will be subject to the jurisdiction of the Malaysian courts.
14. Changes to These Terms
We may update these terms from time to time. The "Last Updated" date at the top of this page will reflect the most recent revision. Continued use of the Site or our services after a revision constitutes acceptance of the updated terms.
